Terms of Service

Welcome to Kobaru. These Terms of Service ("Terms") govern your access to and use of Kobaru's products, services, and APIs, including the Transparent Proxy service. Please read these terms carefully before using our services.

1. Acceptance of Terms

By accessing or using Kobaru's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. These terms apply to all users, including visitors, registered users, merchants, and API consumers. We reserve the right to modify these terms at any time, and your continued use of the service constitutes acceptance of those modifications.

2. Description of Service

Kobaru provides payment gateway infrastructure implementing the x402 protocol on Solana and other supported blockchains. Our services enable developers, merchants, and organizations to accept and process cryptocurrency payments. Our services include: • x402 protocol payment processing APIs • Transparent Proxy for API monetization (access.kobaru.io) • Payment gateway integration tools and SDKs • Transaction monitoring and analytics • Webhook notifications for payment events • Domain verification and endpoint management • Developer documentation and SDKs The Transparent Proxy acts as a technical intermediary between end users and your API, handling payment verification, usage tracking, and on-chain settlement. Traffic is routed through access.kobaru.io/{your-slug}/* and forwarded to your verified backend. Important: Kobaru is a payment facilitator, not a custodial service. We do not hold, store, or custody user funds. All transactions occur directly on supported blockchains. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. Account Registration

To access certain features of our services, you must register for an account. You agree to: • Provide accurate, current, and complete information during registration • Maintain and promptly update your account information • Keep your API keys and credentials secure and confidential • Accept responsibility for all activities under your account • Notify us immediately of any unauthorized use or security breaches We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

4. Endpoint and API Validation

To use Kobaru's Transparent Proxy service, you must demonstrate ownership or administrative control of the destination API domain through the validation methods provided by the platform. You agree to the following: • Proof of Ownership: You must verify ownership or authorization over every API endpoint you configure for monetization through the Transparent Proxy, using the methods provided by the platform (such as DNS TXT records or HTTP verification files). • Third-Party Prohibition: It is strictly prohibited to configure Kobaru to act as a gateway or paywall for third-party APIs or domains without their express written authorization. Kobaru reserves the right to immediately suspend any endpoint that violates this rule, without prior notice. • Ongoing Compliance: You must maintain valid domain ownership verification for the duration of your use of the Transparent Proxy service. Kobaru may periodically re-verify domain ownership and suspend endpoints that fail verification. • Cooperation: You agree to cooperate with Kobaru in investigating any disputes related to domain ownership or API authorization. Failure to maintain valid domain verification may result in immediate suspension of your proxy endpoints.

5. Account Identifiers (Slugs)

The selection of account identifiers (e.g., access.kobaru.io/your-slug) is made on a first-come, first-served basis. However, Kobaru reserves the absolute and unilateral right to reclaim, rename, or remove slugs at any time and for any reason, at its sole discretion, including but not limited to slugs that: • Infringe on third-party trademarks or intellectual property • Are considered offensive, misleading, or deceptive • Attempt to impersonate official entities, financial institutions, or other businesses • Create confusion with Kobaru's own brand, products, or services • Are inactive for an extended period • Are deemed necessary for operational, legal, or security reasons Reserved Terms: Kobaru maintains a list of reserved terms that cannot be used as slugs by users to ensure system integrity and prevent abuse. No Ownership Rights: You acknowledge that a slug is a revocable license to use an identifier on the Kobaru platform and does not confer any ownership or proprietary rights. Kobaru may reassign, modify, or revoke slugs at any time, with reasonable notice when practicable but without obligation to provide advance notice.

6. Payment Processing Terms

Your use of Kobaru payment APIs is subject to the following terms: • You are responsible for compliance with all applicable payment laws and regulations in your jurisdiction • You must not process payments for prohibited goods or services (see Sections 10 and 11) • Transaction fees apply as specified in your plan and are deducted at settlement • Settlement timing depends on network conditions and your configured settings • You must implement proper error handling for failed or pending transactions Kobaru does not guarantee transaction finality—all transactions are subject to blockchain network conditions and may be reversed due to network reorganizations.

7. Fees and Billing

For paid services, you agree to pay all fees according to your selected plan. Fee terms include: • Transaction fees are calculated as a percentage of processed volume • Platform fees may be billed monthly in advance or arrears depending on plan • All fees are non-refundable unless otherwise specified • We may change pricing with 30 days notice • Failure to pay may result in service suspension You are responsible for all taxes associated with your use of our services, excluding taxes based on our net income.

8. Non-Custodial Nature of Services

Kobaru operates as a non-custodial payment gateway. This means: • We never hold, control, or have access to your funds or your customers' funds • All payments flow directly between payer and payee wallets on supported blockchains • You are solely responsible for securing your wallet private keys • Lost or compromised wallet credentials cannot be recovered by Kobaru • We are not responsible for funds sent to incorrect addresses You acknowledge that cryptocurrency transactions are irreversible and that Kobaru cannot reverse, cancel, or modify completed blockchain transactions.

9. API Content Responsibility (Transparent Proxy)

You acknowledge that Kobaru acts exclusively as a technical intermediary (proxy) when routing traffic through the Transparent Proxy service. Regarding the content proxied through the service: • Sole Responsibility: You are solely responsible for the legality, integrity, accuracy, and security of the content and data transmitted through your original API (merchant origin). Kobaru does not review, moderate, or endorse any content that passes through the proxy. • No Editorial Control: Kobaru exercises no editorial control over the API responses served through the Transparent Proxy. The content remains under your full control and responsibility. • Indemnification for Proxied Content: You agree to indemnify and hold harmless Kobaru from any damages, claims, or liabilities arising from unlawful content, copyright infringement, data breaches, privacy violations, or security failures originating from the destination API configured by you. • Content Monitoring and Suspension: While Kobaru does not actively monitor proxied content, we reserve the right to suspend or terminate proxy access immediately if we become aware of content that violates these Terms, applicable law, or poses a risk to the platform's integrity, reputation, or other users. • Data Protection: You are responsible for ensuring that all data processed through the Transparent Proxy complies with applicable data protection and privacy laws, including obtaining any necessary consents from end users.

10. Prohibited Uses

You agree not to use our services to: • Process payments for illegal goods or services • Facilitate money laundering, terrorist financing, or sanctions evasion • Process payments for gambling (unless properly licensed) • Violate any applicable laws, regulations, or sanctions • Process fraudulent transactions or engage in chargebacks abuse • Circumvent transaction limits or monitoring systems • Resell API access without authorization • Use the Transparent Proxy to monetize APIs or content that you do not own or are not authorized to monetize • Use the Transparent Proxy to mask the true origin of malicious or illegal traffic • Proxy content that violates third-party intellectual property rights Violation of these restrictions may result in immediate termination without refund and reporting to relevant authorities.

11. Prohibition of Phishing, Fraud, and Criminal Activity

The use of the Transparent Proxy for any criminal, fraudulent, or malicious purpose is strictly prohibited. This includes, without limitation: • Creating fake login pages or capturing third-party credentials (phishing) • Distributing malware, ransomware, or any malicious software • Conducting man-in-the-middle attacks or intercepting communications • Proxying content that facilitates money laundering, terrorist financing, or other criminal activities • Using the proxy to circumvent legal restrictions, sanctions, or content regulations • Impersonating another service, website, or entity • Any activity that could subject Kobaru to criminal or regulatory liability Kobaru employs automated fraud detection systems and cooperates fully with competent authorities in the investigation of detected criminal activities. Any violation of this section will result in immediate and permanent termination of access without prior notice or refund, and Kobaru will report such activities to the appropriate law enforcement agencies. Kobaru reserves the unilateral right to revoke access to the Transparent Proxy and all services at any time if there is reasonable suspicion of criminal or fraudulent activity, without prior notice and without liability.

12. Compliance and Regulatory

You are responsible for: • Complying with all applicable laws regarding cryptocurrency and payment processing • Obtaining any required licenses or registrations in your jurisdiction • Implementing appropriate Know Your Customer (KYC) and Anti-Money Laundering (AML) procedures for your business • Maintaining records as required by applicable law • Responding to lawful requests from regulatory authorities Kobaru may implement additional compliance measures and reserves the right to refuse or suspend service to users in jurisdictions where our services may not be legally offered.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOBARU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR CRYPTOCURRENCY ASSETS. Kobaru is not liable for: • Losses due to blockchain network failures, congestion, or reorganizations • Losses due to wallet compromise or lost private keys • Losses due to transactions sent to incorrect addresses • Fluctuations in cryptocurrency value • Content, data, or responses served through the Transparent Proxy • Damages arising from suspension or termination of proxy endpoints Our total liability for any claims arising from these terms shall not exceed the fees you paid us in the twelve months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Kobaru and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: • Your use of our services, including the Transparent Proxy • Your violation of these terms • Your violation of any applicable laws or regulations • Claims by your customers related to transactions processed through our service • Your failure to comply with applicable compliance obligations • Content, data, or API responses served through the Transparent Proxy configured by you • Claims from third parties whose APIs, domains, or content were proxied without proper authorization • Any criminal or fraudulent activity conducted through your account or proxy endpoints

15. Termination and Access Revocation

Either party may terminate this agreement at any time. Kobaru additionally reserves the right to immediately revoke access to any or all services, including the Transparent Proxy, proxy endpoints, slugs, and API access, without prior notice, in the following circumstances: • Violation of any provision of these Terms of Service • Suspected criminal, fraudulent, or malicious activity • Failure to maintain valid domain ownership verification • Use of the proxy for prohibited purposes as described in Sections 10 and 11 • Receipt of a valid legal or regulatory order • Any activity that poses a risk to Kobaru, its infrastructure, its users, or its reputation Upon termination or revocation: • Your API access, proxy endpoints, and slugs will be immediately revoked • Any outstanding fees become immediately due • Pending transactions will be processed according to their current state • Kobaru may retain data as required by law or for dispute resolution • Provisions that should survive termination will remain in effect You should ensure all pending transactions are settled before termination. Kobaru shall not be liable for any damages resulting from the termination or suspension of services under this section.

16. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
